Terms of Service

The terms that govern your use of the ContractHive platform. Plain English, no legalese theatre.

1. The agreement

These Terms of Service ("Terms") govern your access to and use of the ContractHive platform, operated by FutureHives ("FutureHives," "we," "us," "our"). The Estimator 9 product is developed by FineIT, our technology partner, and made available through the ContractHive platform.

By accessing or using the platform — whether as a visitor, trial user, or paying customer — you agree to be bound by these Terms. If you don't agree, don't use the service.

If you are using the platform on behalf of a company or other legal entity, you confirm you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

2. The service

The ContractHive platform consists of three products:

  • ContractHive — AI lease accounting and lifecycle management for IFRS 16.
  • Estimator 9 — Expected credit loss automation for IFRS 9, developed by FineIT.
  • NextHive Cash Forecasting — AI cash and liquidity forecasting for finance and treasury.

Each product can be subscribed to independently or together as part of the platform. The specific features, limits and service levels available to you depend on your subscription plan and any commercial agreement between you and FutureHives.

3. Accounts

To use the platform you may need an account. You are responsible for (a) the security of your account credentials, (b) all activity that happens under your account, and (c) keeping your contact information accurate. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

4. Free trial

We offer a free trial period (typically 14 days) so you can evaluate the platform on your real data. No credit card is required to start. During the trial:

  • You have access to the platform features available in the trial scope.
  • We may help you onboard data and run real workflows alongside our specialists.
  • The trial automatically ends at the end of the trial period.
  • If you choose to continue, we will discuss a paid plan with you.
  • If you choose not to continue, your data will be securely archived for a limited period and then deleted.

5. Fees & payment

Paid plans, fees and billing terms are set out in your customer agreement. Unless otherwise stated, fees are payable in advance, non-refundable except where expressly required by law, and exclusive of taxes which you are responsible for.

6. Acceptable use

You agree not to use the platform to:

  • Violate any applicable law or regulation, including financial reporting standards.
  • Infringe the rights of any third party (including intellectual property and privacy rights).
  • Upload malicious code, attempt to gain unauthorised access, or interfere with the platform's operation.
  • Use the platform to build a competing product.
  • Reverse-engineer the platform or its underlying models, except as permitted by law.
  • Share access credentials with anyone outside your organisation.

We may suspend or terminate access if we reasonably believe you are breaching this section.

7. Customer data

You retain all rights, title and interest in the data you upload to the platform ("Customer Data"). You grant FutureHives (and, where applicable, FineIT for Estimator 9) a limited, worldwide, royalty-free license to host, process, transmit and display Customer Data solely for the purpose of providing and improving the service to you, and as otherwise permitted by your customer agreement.

We do not sell your Customer Data, and we do not use it to train third-party AI models.

The handling of personal data is governed by our Privacy Policy and any applicable Data Processing Addendum.

8. Intellectual property

The ContractHive platform — including all software, models, documentation, designs, branding and underlying intellectual property — is owned by FutureHives and its licensors (including FineIT for Estimator 9). Nothing in these Terms transfers ownership of any ContractHive intellectual property to you.

Subject to these Terms and your subscription plan, FutureHives grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform during the term of your subscription, solely for your internal business purposes.

9. Confidentiality

Each party may disclose confidential information to the other in connection with the service. Both parties agree to keep that information confidential, use it only for the purposes of the relationship, and protect it with at least the same degree of care they use to protect their own confidential information of similar sensitivity.

10. Warranties & disclaimers

We will provide the platform with reasonable skill and care. Beyond any service levels expressly set out in your customer agreement, the platform is provided "as is" and "as available". To the maximum extent permitted by law, FutureHives disclaims all other warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or usage of trade.

The output of AI features (including contract abstraction, ECL model results and cash forecasts) is informational. You are responsible for reviewing and validating outputs before relying on them for accounting, audit, regulatory or financial decisions.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business opportunity or goodwill, arising out of or in connection with these Terms or the use of the platform — even if advised of the possibility of such damages.

The total liability of each party arising out of or in connection with these Terms will not exceed the fees paid by you to FutureHives in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, gross negligence or wilful misconduct).

12. Indemnification

You agree to indemnify FutureHives against third-party claims arising from (a) your breach of these Terms, (b) your misuse of the platform, or (c) Customer Data that infringes third-party rights or violates applicable law. FutureHives will indemnify you against third-party claims that the platform itself infringes a third-party intellectual property right, subject to standard IP-indemnity procedures and exclusions.

13. Termination

Either party may terminate the agreement (a) at the end of the subscription term, (b) for material breach if not cured within a reasonable period of written notice, or (c) immediately if the other party becomes insolvent or ceases to do business.

On termination, your right to use the platform ends, and we will make Customer Data available for export for a reasonable period before secure deletion in line with our retention policies.

14. Governing law

These Terms are governed by the laws of the United Arab Emirates, and the parties agree to submit to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates — except where your customer agreement specifies a different governing law and forum.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction.

15. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Effective date" at the top of this page. For material changes that affect the rights or obligations of paying customers, we will provide reasonable advance notice.
